Counsel - Capital Markets, Governance & Securities

About the Role
Join the team providing legal support on all capital markets, fundraising, investor relations, securities, governance and other corporate matters.
  • Provide legal support and project manage capital market and other financing transactions, from initial stages through diligence, negotiation of definitive agreements and closing and all post-closing matters (including on-going compliance matters).
  • Provide legal/SEC advice to finance and investor relations function on earnings releases, 8-Ks, earnings transcripts and all other investor communications; support on drafting of annual proxy statement and coordination of annual stockholders meeting.
  • Provide legal support on broad range of other general corporate matters as this role ideally will be able to provide support as needed to corporate legal team, which can include at any given time, broader corporate secretary function, entity management, periodic SEC reporting, Section 16 compliance, ESG engagement and reporting, and other corporate transactions as needed.

Basic Qualifications
  • Minimum of four (4) years of legal experience in emerging company/venture capital corporate, M&A, capital markets and/or public company SEC reporting; or equivalent experience in either a law firm or in-house.
  • J.D. and license to practice law in at least one state.

Preferred Qualifications
  • Transactional experience - project managing corporate transactions (can be venture financings, M&A, capital markets and/or others; does not have to be everything).
  • Experience with public company SEC functions including 10-K, 10-Q, proxy statement and other disclosure matters.
  • Experience with debt finance
  • Experience with in-house corporate secretary and investor engagement and/or ESG functions
